End to end management of incorporation of companies in territories where Group operates, coordinating with territory teams.
Setting up and maintaining an online compliance mechanism for all the Group and functions.
Analyse and assess business requirements and provide secretarial advice and implement solutions.
Execute and maintain all required company-related filings, documents, reports, and records according to applicable laws and regulations.
Preparation of the AGM, EGM, Board Resolution, etc. in close coordination with directors and/or members for necessary approvals/consents.
Experience working with Free Zones in UAE.
Filing with Government authorities on the changes (shares, change of officers, address, etc.)
Liasing with regulatory authorities
Preparation and amendments to Constitutional Documents including Charters and share certificates.
Ensuring the integrity of the governance framework, being responsible for the efficient administration of a company, ensuring compliance with statutory and regulatory requirements, and implementing decisions made by the Board of Directors.
Ensure timely upkeep, update, and maintenance of statutory registers and records according to regulatory requirements.
Requirements
Holder of Law degree. CS qualification desirable.
5 years of experience in Company Secretarial and Compliance Role (with minimum 2-years experience in UAE).
Sound understanding of U.A.E Company Laws and possess in-depth knowledge of Corporate and Commercial Laws and regulations in the UAE.
