Who You'll Work With
You will join McKinsey Legal's Corporate Strategy & Alliances (CSA) team reporting to the Managing Counsel. Based in EEMA with a preference for our Riyadh or Casablanca offices, you'll be part of the CSA team supporting the firm on matters related to strategic alliances, mergers and acquisitions, and corporate law and governance matters. You will specifically focus on the Corporate sub-team.
You will be involved in a broad range of corporate matters, including advising on corporate issues for firm entities globally; corporate governance issues, including directors duties and liabilities, board composition and effectiveness; and drafting all relevant corporate documents. You'll work closely with the firm's Tax, Finance, Treasury, Employment, Benefits and other firm functions on projects with a corporate component, which includes working on entities in EEMA and globally.
What You'll Do
You will enjoy a broad mix of advisory, drafting and negotiation work, with key stakeholders in the region, and supporting the Corporate team more broadly on global matters, with a focus on EEMA.
You will assess, advise on and implement reorganizations, restructurings (including intra-group asset/share transfers), recapitalizations and dissolutions of firm entities. You'll advise on the increasing number of global corporate reporting requirements related to ultimate beneficial owner and environmental, social responsibility and governance disclosure regimes.
You'll conduct risk assessments for proposed new locations and establish and implement new entities/structures in approved locations, whilst also supporting proposed acquisitions and transactions and driving the corporate integration process. You'll oversee the Corporate Secretary function and the work of corporate paralegals for firm entities (advising on formation documents, corporate filings, minutes and resolutions, powers of attorney, intercompany agreements, KYC requests, tax requests and other corporate documentation in support of the firm's global operations).
Qualifications
- LLB, Juris Doctorate or equivalent from an accredited law school
- Member in good standing with local Bar or equivalent professional organization
- 6+ years relevant experience with a top law firm, financial firm or corporate legal department
- Solid understanding of corporate law principles and concepts, including proven experience setting up entities and drafting/reviewing governance documents and handling ongoing compliance and corporate maintenance issues
- Proficiency in Arabic (spoken and/or written) for professional communication is strongly preferred
- Transactional experience (M&A and financings) a plus
- Familiarity with New York and Delaware corporate law highly preferred
- Strong organization skills with an ability to effectively prioritize workflow and manage multiple projects while delivering against deadlines
- Excellent problem-solving, collaboration and influencing skills; ability to work effectively with cross-functional teams and stakeholders
- Highly effective communicator who listens actively, conveys information clearly and succinctly in writing and verbally, and translates complex legal concepts into actionable advice
- Excellent legal drafting ability (of both corporate and transactional documentation) and eye for detail
- Motivated self-starter who works independently, drives to completion and consistently delivers high quality results across multiple assignments
- Trusted advisor who demonstrates impeccable judgment and values; builds strong relationships across the organization; and is comfortable working with senior leadership
- Ability to work both independently and collaboratively with other lawyers to deliver distinctive legal services to our internal clients
