About the Role
- The candidate shall be accountable to SVP Legal & Company Secretary for the following:
- Ensuring compliance with governance requirements across geographies where the Group has its offices.
- Incorporating, managing companies and ensuring adherence to company law of countries in Middle East and Africa regions.
- Drafting and vetting of Memorandum & Articles of Association
- Preparation of notice and agenda pack for the Board, Committee and General Meetings, in coordination with external advisors wherever required
- Attending, conducting and taking minutes of the Board, Committee and General Meetings
- Providing advice to the senior executives while having high level responsibilities including governance structures and mechanism, corporate conduct within regulatory environment, board and shareholder meetings and regulatory requirements and contact with regulatory and external bodies
- Participating in merger and acquisition process as and when required
- Performing all other Company Secretarial functions
- Reviewing and negotiating corporate agreements including bank facilities and term loan agreements
- Provide contracting advice to the senior executives while having high level responsibilities including governance structures and mechanism, corporate conduct within regulatory environment, board and shareholder meetings and regulatory requirements and contact with regulatory and external bodies
