Job Responsibilities
- Contract Review: Examine various types of contracts, including but not limited to sales agreements, vendor contracts, partnership agreements, employment contracts, and non-disclosure agreements, to ensure they are legally sound and in compliance with applicable laws and regulations.
- Legal Analysis: Provide legal opinions and analysis on contractual matters, identifying potential risks, legal issues, and recommending necessary revisions or amendments to protect the interests of the organization.
- Negotiation Support: Assist in contract negotiations by offering legal guidance, ensuring that proposed terms are consistent with the law, and advocating for favorable terms and conditions on behalf of the organization.
- Legal Research: Stay updated with relevant laws and regulations, conducting legal research as needed to provide accurate and up-to-date advice on contractual matters.
- Compliance Monitoring: Monitor contracts and agreements to ensure compliance with agreed-upon terms and deadlines, and take necessary actions in case of breaches.
- Drafting and Revision: Prepare, draft, and review contracts, clauses, and legal documents, ensuring they align with the organization's goals and minimize potential legal risks.
- Risk Assessment: Identify and assess potential legal and business risks associated with contracts, offering strategic advice to mitigate these risks.
- Client Communication: Communicate effectively with internal and external stakeholders, including clients, business partners, and legal teams, to address contract-related inquiries and issues.
- Legal Documentation: Maintain accurate and organized records of all contracts and legal documents, ensuring easy retrieval and reference when needed.
- Policy and Procedure Development: Contribute to the development and improvement of the organization's contract management policies, procedures, and best practices.
- Dispute Resolution: Assist in dispute resolution and litigation matters related to contracts, working closely with legal teams to represent the organization's interests.
Qualifications
- Holds a law certificate and accredited by the law society.
- Proven experience in commercial law and contract review, preferably in a corporate or law firm setting.
- Strong understanding of contract law, business law, and relevant regulations.
- Excellent negotiation, analytical, and problem-solving skills.
- Exceptional communication and interpersonal abilities.
