The client is a boutique private practice law firm based in Riyadh, Saudi Arabia. They're looking for an experienced Senior Corporate Transactional Lawyer to join our team in Riyadh.
This role is well-suited for a dynamic professional with a deep understanding of the Middle Eastern legal landscape and a proven ability to manage complex transactions from inception to closing.
Responsibilities
- Advise clients on complex mergers, acquisitions, joint ventures, private equity investments, and strategic partnerships, ensuring compliance with local laws and regulations.
- Drafting & Negotiation: Prepare, review, and negotiate a wide range of transaction documents, including share purchase agreements (SPAs), asset purchase agreements (APAs), shareholder agreements, joint venture agreements, and financing agreements.
- Lead and manage comprehensive due diligence processes for M&A transactions, identifying key risks and providing pragmatic solutions to mitigate them. Summarize findings in due diligence reports and provide strategic legal advice to support transaction structuring.
- Advise on corporate restructuring, reorganizations, capital increases, and reductions. Assist with the formation and establishment of entities, including special purpose vehicles (SPVs), and draft and review related constitutional documents such as articles of association.
- Ensure all transactions comply with relevant regulatory requirements, including those of the Saudi Capital Market Authority (CMA) and other regional regulators. Advise on foreign direct investment (FDI) and sector-specific regulations.
- Build and maintain strong relationships with clients by understanding their business needs, providing proactive legal advice, and managing expectations throughout the transaction lifecycle.
- Participate in business development initiatives, including drafting pitches, preparing proposal documents, and identifying new opportunities for legal services. Represent the firm at industry events and client meetings to strengthen professional networks.
- Manage, mentor and guide junior lawyers, fostering their professional growth through knowledge sharing and on-the-job training. Lead legal training sessions on corporate and transactional matters for internal teams and clients.
What you'll need to succeed
- At least 7 years PQE, with a significant focus on M&A, joint ventures, and corporate restructuring. Prior experience in a top-tier law firm or in-house legal department is highly desirable.
- A qualified lawyer, holding a degree in law from a reputable university.
- Demonstrated experience in advising on transactions in the Middle East, with a deep understanding of Saudi Arabian laws and regulatory frameworks.
- Bilingual proficiency in Arabic and English, with strong drafting skills in both languages.
- Exceptional negotiation, communication, and analytical skills.
- Ability to manage multiple priorities under tight deadlines and deliver high-quality work.
- A proactive approach with the ability to work independently, demonstrating a commitment to continuous professional development and delivering exceptional client service.
