Position Summary:

We are seeking a highly skilled and experienced Legal Counsel specializing in Mergers & Acquisitions (M&A), Corporate, and Commercial law. The successful candidate will be responsible for managing legal risks across the fund and its portfolio companies, ensuring compliance with applicable laws and regulations, and providing comprehensive legal advice. This role requires expertise in M&A transactions and a deep understanding of corporate and commercial legal disciplines.

Key Responsibilities:

Legal Risk Management:

Identify, assess, and manage legal risks across all functions of the fund and its portfolio companies.

Develop and implement risk mitigation strategies to protect the fund's interests and assets.

M&A Transactions:

Provide expert legal advice and support on M&A transactions, including due diligence, negotiation, drafting, and review of transaction documents.

Collaborate with internal teams and external advisors to ensure successful execution of M&A deals.

Corporate Governance:

Advise the Board of Directors and senior management on corporate governance matters.

Ensure compliance with corporate governance standards and regulatory requirements across the group.

Commercial Contracts:

Draft, review, and negotiate a wide range of commercial contracts and agreements.

Provide legal support on contractual matters, including dispute resolution and contract management.

Regulatory Compliance:

Monitor and ensure compliance with applicable laws and regulations in all jurisdictions where the fund and its portfolio companies operate.

Keep abreast of legal and regulatory developments and advise on their impact on the fund and its investments.

Legal Advisory:

Provide timely and strategic legal advice on a variety of legal issues.

Support the fund in its investment activities, projects, and asset management initiatives.

Stakeholder Management:

Build and maintain strong relationships with internal and external stakeholders, including portfolio companies, external legal counsel, regulators, and industry partners.

Represent the fund in legal proceedings, negotiations, and other interactions with third parties.

Qualifications:

• Juris Doctor (JD) or equivalent law degree from a recognized institution.
• Admission to practice law in relevant jurisdictions.
• Minimum 4 years of experience in M&A, corporate, and commercial law, preferably within an investment fund or similar environment.
• Proven track record in managing complex M&A transactions and providing strategic legal advice.
• Strong knowledge of corporate governance, regulatory compliance, and commercial contract law.
• Excellent analytical, negotiation, and communication skills.
• Ability to work effectively in a fast-paced and dynamic environment.
• High ethical standards and integrity.
