Job Description

Job Purpose

The Legal & Compliance Associate will support the legal department with tasks such as legal research, document preparation, contract review, and administrative duties. This role requires strong attention to detail, excellent organizational skills, and the ability to work independently in a fast-paced environment. Additionally, the role will collaborate closely with committees like the Operational Committee, Audit Committee, and Board of Directors to ensure effective documentation, communication, and governance of approved initiatives.

Strategic Operational Support

  • Manage the meetings process for the Board of Directors (BOD), OPCOM, and Audit Committee, including scheduling, follow-ups, minutes of meetings (MOM), and approvals.
  • Facilitate communication between the respective Committee and other stakeholders to ensure alignment with strategic objectives and organizational priorities.
  • Serve as a liaison between senior management and the Board of Directors, providing regular updates on operational initiatives, governance practices, and strategic planning efforts.
  • Assist in the preparation of the respective committee meeting materials, including reports, and presentations.
  • Overseas the implementation of the Devolution of Powers (DOP).
  • Ensure that all activities adhere to legal, regulatory, and organizational policies and procedures.
  • Manage confidential information with the utmost discretion and integrity
  • Act as a central point of contact for corporate governance-related matters.

Document Management & Legal Research

  • Organize and maintain physical and electronic legal files and records.
  • Review and analyze contracts for compliance with company policies and legal requirements.
  • Conduct legal research on relevant laws, regulations, and legal articles.
  • Analyze and summarize legal documents and case files.
  • Draft, review, and edit legal documents, including contracts, agreements, and correspondence.

Governance & Reporting

  • Track and monitor action points resulting from committee meetings.
  • Work with relevant teams to ensure timely and effective implementation of action items.
  • Provide support to strategic operations and initiatives.
  • Manage the operational aspects of the new strategic initiatives involving different stakeholders.
  • Report progress of strategic operations to relevant parties.
  • Offer basic-level support to the finance department.

Administrative & Compliance Support

  • Assist in the preparation of corporate filings and other regulatory documentation.
  • Provide administrative support to the General Counsel and legal team.
  • Coordinate meetings and manage calendars.
  • Assist with the preparation of presentations and reports.
  • Ensure all necessary licenses are renewed on a timely basis and maintained in good standing.
  • Assist in identifying potential legal risks associated with the companys operations, contracts, and business activities.

Job Specification

Education

  • Bachelor's degree in law or any related field

Knowledge

  • Strong knowledge of legal principles, terminology, and procedures.
  • Familiarity with corporate law, contract law, and regulatory compliance.
  • Proficiency in legal research methods.
  • Administrative Skills.
  • Strong written and verbal communication skills.
  • High level of attention to detail and organizational skills.
