1. KEY ACCOUNTABILITIES:
Description
- perform due diligence, to draft, review and negotiate offer letters, term sheets, letters of intent, definitive transaction documentation (SPA, Subscription Agreement, SHA, Assets Purchase Agreement) and completion documentation, and supporting closing transactions and post-closing integration.
- draft and assist with the preparation of M&A related board and executive committee (including IFC) meeting materials.
- review, prepare and advise on auction processes and new projects in order to protect the company's interests and mitigate risks.
- advise on, review and consult with M&A, Strategy and Finance departments on proposed structures in relation to the transactions at hand.
- assist with other special corporate projects, such as joint ventures, management share participations and IPO.
- work closely together with the internal M&A, Finance, Growth and Strategy teams, as well as to work with and manage external advisors and experts.
- identify, update the relevant departments/stakeholders on and mitigate legal risks and issues with respect to the projects and deals, especially as to liabilities, indemnification, warranties, disclosure, pre-closing and post-closing covenants, integration, etc.
- ensure alignment form an M&A perspective with the company's strategy, vision and mission.
- a corporate counsel, to help, together with the other legal team members, in more general corporate matters.
- the talent development initiatives within the legal team.
- provide training and awareness to the relevant departments as to the legal aspects of the M&A and corporate operations.
- participate in meetings with partners, relevant business units, shareholders and other legal team members to share updates on ongoing projects, in progress deals, and recent developments.
- Work on new process to simplify or expedite how the company transacts with its counterparties.

3. Context, Work environment & DECISION-MAKING AUTHORITY:
The job holder is required to foresee and meet current and potential challenges presented by rapid operational and staff growth in implementing effective human resources strategy.
The job holder exercises financial authority as per the level established by Khazna management and stipulated in the authority matrix.
Key decisions having significant impact on the department are referred to General Counsel for approval before implementation.
4. QUALIFICATIONS, EXPERIENCE, & SKILLS:
Minimum Qualifications:
A Bachelor's degree in Law is a must.
A Master's degree would be advantageous.
Admission to practice in a recognized jurisdiction (preferably Common Law jurisdiction).
Minimum Experience:
5 years at least of experience as an M&A lawyer within a reputable law firm and/or legal department of an international company.
Job-Specific Skills (Generic / Technical):
- Keen interest in technology, energy, telecommunications and/or data centers.
- Understanding of complex transaction documents, strong in drafting and negotiating key clauses in such contracts, solid experience in risk assessment, interaction and ability to manage key stakeholders.
- To be the primary in-house attorney on M&A and other corporate projects, including handling multiple simultaneous transactions or projects.
- Oriented with problem solving/pragmatic approach.
- English & Arabic is mandatory
